issuing purchase options and effects through the sale of DWAC systems, investment budgets and plans, business plans, strategic plans, marketing and advertising plans, publications and customer agreements; (ii) information that should be kept confidential in good faith depending on the nature of the circumstances of the disclosure; (iii) information, including bank account information, relating to the shareholders of the publishing party; and (iv) all notes, analyses, compilations, studies, summaries and other documents produced by the receiving party (as defined below), its associated companies, employees, agents and representatives, containing all or part of the above information; where confidential information does not contain information that (x) is or becomes publicly available (excluding inappropriate acts or inaction by the receiving party); (y) was properly disclosed to the receiving party by a third party without breaching its obligations of confidentiality under that obligation; or (z) was developed independently of the receiving party, without reference to confidential information or its use. (c) AST may avail itself of the following acts or other instructions, including, but not limited, to oral instructions, certificates, instruments, notices, communications, letters, powers of action, sworn assurances or other documents or guarantees that it has received from a person (as defined below), including, but not limited to oral training , certification, instrument, opinion, notification, letter, power of action, sworn insurance or other documents or other documents or guarantees that it has received from a person (as defined below) whom it considers in good faith as an agent for an authorized official. , the company`s representative or employee, unless the company has written to AST that AST must act and rely only on the written instructions of certain authorized company staff members; (ii) any factual allegation contained in such writing or instruction that the AST deems appropriate in good faith; (iii) the authenticity and authenticity of any signature (manual, facsimile or electronic) on a document, including, but not limited to, a certificate, deed, opinion, communication, letter, power of action, affidavit or other document or guarantee; and (iv) compliance with the original of a copy.
